Terms & Conditions of Use

These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you and Laurasia and Gondwana Consultancy FZCO, the owner and operator of the Wysely platform. By accessing, registering for, or using the Platform in any capacity, you confirm that you have read, understood, and expressly agree to be legally bound by these Terms in their entirety.
1.1.These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Laurasia and Gondwana Consultancy FZCO, the owner and operator of the Wysely platform ("Wysely", "we", "us", "our"). Wysely operates its services through the website wysely.co.za and any associated mobile applications (collectively, the "Platform").
1.2. By accessing, registering for, or using the Platform in any capacity, you confirm that you have read, understood, and expressly agree to be legally bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must immediately cease use of the Platform and not register for an account.
1.3. These Terms should be read together with the Wysely Privacy Policy (available at wysely.co.za/privacy-policy) and any additional policies or notices published on the Platform from time to time, all of which are incorporated herein by reference. This document is a legal document. That means it is binding on you and on us. It provides both us and you, with various rights. It also places certain obligations and duties on you and on us. This document is therefore very important and, by using the Platform, you confirm that you have read this document and consider it binding on you.
2.1. In these Terms, the following terms are used and mean what is said directly opposite it:

| "Deal" / "Offer" | A discount, promotional offer, voucher code, or benefit made available to Users by a Merchant Partner through the Platform. |
| "Inner Circle" | The exclusive membership tier of the Platform, available to qualifying Users who hold an eligible account with a Distribution Partner, as further described in Clause 5. |
| "Brand Partner" | A brand partner, retailer, service provider, or business that has agreed with Wysely to make Deals available to Users through the Platform. |
| "Open Access" | The free membership tier of the Platform, available to all registered Users upon completion of account registration, as further described in Clause 5. |
| "Personal Information" | Any information that identifies or is capable of identifying a natural person, as defined in the Protection of Personal Information Act 4 of 2013 (POPIA). |
| "Platform" | The Wysely website (wysely.co.za), mobile application(s), and all related services, tools, and features operated by Wysely. |
| "POPIA" | The Protection of Personal Information Act 4 of 2013, and any regulations promulgated thereunder. |
| "User" | Any individual who registers for and uses the Platform, including Open Access and Inner Circle members. |
| "Voucher Code" | A unique or shared alphanumeric code provided through the Platform that entitles the User to redeem a specific Deal from a Merchant Partner. |
| "Wysely" | Laurasia and Gondwana Consultancy FZCO, the owner and operator of the Wysely Platform. |
2.2. Words used herein shall also have the meanings as defined in the Wysely Privacy Policy.
2.3. Words importing the singular shall include the plural and vice versa. Clause headings are for convenience only and shall not affect the interpretation of these Terms. References to any statute or statutory provision include any amendments, re-enactments, or successor legislation.
3.1. By completing registration on the Platform, ticking the acceptance checkbox during the registration process, or otherwise using the Platform, you represent and warrant that:
3.1.1. you have read and understood these Terms in full;
3.1.2. you have the legal capacity to enter into a binding agreement under South African law;
3.1.3. you meet the eligibility requirements set out in Clause 3;
3.1.4. all information you provide during registration and use of the Platform is true, accurate, current, and complete; and
3.1.5. you agree to be bound by these Terms and any amendments thereto.
3.2. If you are registering on behalf of another person or a legal entity, you represent that you have authority to bind that person or entity to these Terms.
3.3. The Wysely Platform is intended exclusively for individuals aged 18 years and older. Wysely does not knowingly collect or process Personal Information from individuals under the age of 18. If we become aware that we have inadvertently collected Personal Information from a person under 18, we will take immediate steps to delete that information from our systems.
3.4. If you believe that we may have inadvertently collected information from a minor, please contact us immediately at privacy@wysely.co.za
4.1. The Wysely Platform is designed for and made available to individuals between the ages of 18 and 30 years old who are resident in the Republic of South Africa.
4.2. To register for an Account, you must:
4.2.1. be at least 18 years of age at the time of registration;
4.2.2. be no older than 30 years of age at the time of registration (Wysely reserves the right to apply continued age-based eligibility criteria as the Platform evolves);
4.2.3. be a natural person residing in the Republic of South Africa;
4.2.4. provide a valid South African mobile phone number and email address; and
4.2.5. not be prohibited by any applicable law from using the Platform or receiving the services offered through it.
4.3. Wysely reserves the right to verify your eligibility at any time and to suspend or terminate your Account without prior notice if you are found not to meet or no longer meet the eligibility requirements. Wysely also reserves the right to modify the eligibility criteria upon reasonable notice to existing Users.
4.4. The items and conditions listed in clause 4.2 shall be suspensive conditions. Should any of those conditions not be met, no agreement between us shall exist.
4.5. To access the features of the Platform, you must register for an Account. By registering, you agree to the following:
Registration Information
4.6. You must provide accurate, complete, and up-to-date information during registration, including your full name, email address, South African mobile phone number, South African ID number, student or working professional status, industry or university information where applicable, and identity verification documents such as a South African ID or driving licence where required for verification or eligibility purposes. You are responsible for keeping your Account information updated.
Account Credentials
4.7. You are solely responsible for maintaining the confidentiality of your Account credentials (including your password) and for all activity that occurs under your Account. You must:
4.7.1. choose a strong, unique password and not share it with any third party;
4.7.2. notify Wysely immediately at support@wysely.co.za if you become aware of any unauthorised access to or use of your Account; and
4.7.3. not allow any other person to use your Account.
One Account Per Person
4.8. Each individual may only hold one registered Account on the Platform. The creation of duplicate or multiple accounts by a single individual is strictly prohibited and may result in the suspension or termination of all associated accounts.
Suspension and Termination by Wysely
4.9. Wysely reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate any Account that:
4.9.1. contains false, misleading, or inaccurate registration information;
4.9.2. is identified as a duplicate, fraudulent, or artificially created account;
4.9.3. is involved in any abuse, misuse, or fraudulent activity on the Platform; or
4.9.4. is in breach of any provision of these Terms.
4.10. Where possible and practicable, Wysely will notify you of a suspension or termination and the reasons therefor. However, Wysely is not obliged to provide such notice in cases involving fraud, security threats, or serious breach.
5.1. The Platform offers two distinct membership tiers, each with different levels of access to Deals and benefits:
Open Access (Free Tier)
5.2. Open Access is the standard membership tier available to all eligible registered Users at no cost. Upon completing registration and identity verification, all eligible Users are automatically granted Open Access status, which provides:
5.2.1. access to a curated selection of Deals from participating Merchant Partners as made available from time to time;
5.2.2. the ability to browse all Deals on the Platform, subject to tier restrictions;
5.2.3. access to all general Platform features and content designated for Open Access members.
5.3. Wysely does not charge any fee for Open Access membership. No payment information is required to access Open Access benefits.
Inner Circle (Exclusive Tier)
5.4. Inner Circle is an exclusive membership tier providing access to the complete Deal library, including deepest discounts, exclusive brand offers, and members-only promotions unavailable to Free tier users.
5.5. Inner Circle is not available as a direct paid subscription. Membership is provided exclusively through Distribution Partners (Service providers) as a partnership benefit. Availability, terms, qualifying account types, and conditions are determined solely by the Distribution Partner and subject to change at their discretion. You agree, warrant, and understand that Wysely may amend these Terms so that the Inner Circle may become subject to a paid subscription.
Eligibility Requirements
5.6. To qualify for Inner Circle, you must:
5.6.1. Maintain an active qualifying account with an authorized Distribution Partner
5.6.2.Meet the Distribution Partner's Inner Circle eligibility criteria
5.6.3. Be between 18 and 30 years of age (inclusive)
5.6.4. Comply with these Terms.
Activation
5.7. Inner Circle is automatically activated when you:
5.7.1. Open a qualifying account with a participating Distribution Partner
5.7.2. Link your Distribution Partner account to your Wysely Account via the Platform
5.7.3. Complete verification as directed
Membership Duration & Termination
5.8. Inner Circle remains active while your Distribution Partner account is in good standing. Your membership automatically terminates and reverts to Free tier if:
5.8.1. Your Distribution Partner account closes, downgrades, or no longer qualifies
5.8.2. You exceed 30 years of age
5.8.3. Your Distribution Partner ends their partnership with Wysely
5.8.4. You violate these Terms
5.9. Upon termination, you retain Free tier access and remain a registered Wysely user (except if removed for age exceeding 30 years or violation of Terms).
No Direct Charges
5.10. Inner Circle is provided free to users. Costs are borne by the Distribution Partner as part of their partnership agreement with Wysely.
Changes To Membership Tiers
5.11. Wysely reserves the right to modify the benefits, features, and eligibility criteria associated with either membership tier, or to introduce additional membership tiers, upon providing reasonable prior notice to affected Users via email or in-app notification.
6.1. To ensure the integrity of the Platform and compliance with applicable law, Wysely requires identity verification for Account activation and certain features. By submitting your information for verification purposes, you consent to Wysely processing your Personal Information for the following purposes:
6.1.1. verifying that you meet the eligibility requirements in Clause 6;
6.1.2. confirming the accuracy of the information provided during registration;
6.1.3. detecting and preventing fraud, duplicate accounts, and misuse of the Platform; and
6.1.4. compliance with applicable South African legal and regulatory obligations.
6.2. The Personal Information collected for verification purposes includes, but is not limited to, your full name, date of birth, South African identity number, mobile phone number, and email address. The processing of this information is governed by the Wysely Privacy Policy and conducted in accordance with POPIA.
6.3.Where Inner Circle membership is activated through a Distribution Partner, identity verification may be conducted by the relevant Distribution Partner in accordance with their own onboarding and regulatory requirements. Wysely does not conduct or control the Distribution Partner's verification process.
Nature of Deals
7.1. All Deals, offers, and Voucher Codes available on the Platform are provided by independent Brand Partners. Wysely acts as an intermediary platform connecting Users with Brand Partners and does not itself supply, manufacture, or deliver the goods or services underlying any Deal.
Deal Availability
7.2. All Deals are:
7.2.1.subject to availability and the participating Brand Partner's own stock, capacity, or supply constraints;
7.2.2. valid only for the period specified on the relevant Deal detail page;
7.2.3. subject to the specific terms and conditions of the relevant Brand Partner, which are made available on the Platform and must be read before redemption;
7.2.4. clearly labelled with their applicable membership tier (Open Access or Inner Circle);
7.2.5. subject to geographic limitations, not all Deals are available in all locations.
Voucher Code Terms
7.3. Voucher Codes issued through the Platform:
7.3.1. are for the personal use of the registered User only and may not be sold, transferred, published, shared publicly, or provided to any third party;
7.3.2. must be used strictly in accordance with the applicable Deal terms and conditions;
7.3.3. may be limited to a specified number of uses per User, per transaction, or per time period, as stated on the Deal detail page;
7.3.4. expire upon the date specified and have no cash value; and
7.3.5. may be deactivated or revoked by Wysely or the relevant Brand Partner without prior notice in the event of suspected misuse or technical error.
Redemption
7.4.Users are responsible for ensuring they understand the redemption process for each Deal before attempting to use it. Wysely is not responsible for failed redemptions arising from User error, technical failures at the point of sale, or the Brand Partner's system limitations. Any disputes relating to the redemption of a Deal must be raised with the relevant Brand Partner directly.
Modification and Withdrawal of Deals
7.5. Wysely and Brand Partners reserve the right to modify, suspend, withdraw, or remove any Deal from the Platform at any time, including before the stated expiry date, without liability to the User. Where a Deal is withdrawn before its stated expiry date, Wysely will use reasonable endeavours to notify affected Users, but cannot guarantee advance notice in all circumstances.
8.1. The following terms govern the relationship between Wysely, Users, and Distribution Partners in respect of Inner Circle membership activation:
8.1.1.Wysely does not provide, recommend, endorse, or facilitate the application for any product or service offered by a Distribution Partner. Participation with a Distribution Partner is undertaken entirely at the User's own discretion and initiative.
8.1.2.All decisions regarding a user's eligibility to access, maintain, or receive benefits through a Distribution Partner are made solely by the relevant Distribution Partner in accordance with their own terms, onboarding requirements, regulatory obligations, and internal policies. Wysely has no involvement in and accepts no responsibility for these decisions.
8.1.3.The availability of Inner Circle membership through a Distribution Partner is subject to that Distribution Partner's ongoing agreement with Wysely and may be amended, suspended, or terminated by either party. Wysely does not guarantee the continued availability of Inner Circle benefits through any specific Distribution Partner.
8.1.4. Where a user links or verifies their eligibility through a Distribution Partner for the purpose of Inner Circle activation, Wysely and the Distribution Partner may exchange limited information solely for confirming eligibility and activating or maintaining Inner Circle membership. This information sharing is governed by the Wysely Privacy Policy and applicable data protection laws.
8.1.5. Wysely is not a financial services provider and does not provide financial, banking, investment, or credit advice or services.
8.2. You agree, warrant, and understand that Wysely is not a financial services provider and does not provide financial, banking, investment, or credit advice or services.
8.3. You agree, warrant, and understand that no interaction between you and a Banking Partner or a Distribution Partner shall be as a result of Wysely, its affiliates, employees, agents, or subsidiaries providing any advice to you, but shall be by mere introduction of opportunity. You agree, warrant, and understand that you shall, if you so wish, obtain the necessary financial advice before entering into any transaction or dealing concerning any financial product or service with a Banking Partner or a Distribution Partner and, if you choose to not do so, you do so of your own volition.
9.1. By using the Platform, you agree that you will not, at any time:
9.1.1.misuse, manipulate, circumvent, or exploit any Deal, Voucher Code, or redemption mechanism available on the Platform, including by using or attempting to use expired, invalid, or another User's Voucher Codes;
9.1.2. create more than one Account, whether under your own identity or any other identity;
9.1.3. share, publish, sell, or transfer Voucher Codes or Account credentials to any third party;
9.1.4. provide false, inaccurate, or misleading information during registration, verification, or at any other point during your use of the Platform;
9.1.5. engage in any fraudulent, deceptive, or dishonest activity, whether directed at Wysely, Brand Partners, Distribution Partners, or other Users;
9.1.6.attempt to gain unauthorised access to any part of the Platform, any other User's Account, or Wysely's underlying systems or infrastructure;
9.1.7.use any automated tool, bot, scraper, or similar technology to access, extract, or interact with the Platform without Wysely's prior written consent;
9.1.8. upload, transmit, or otherwise introduce any malicious code, virus, worm, or other harmful software or content to the Platform;
9.1.9. use the Platform for any purpose that is unlawful under South African law or the law of any other applicable jurisdiction; or
9.1.10.engage in any conduct that, in Wysely's reasonable opinion, damages, disrupts, or prejudices the integrity, reputation, or operation of the Platform.
9.2. Wysely reserves the right to suspend, restrict, or permanently terminate the Account of any User found or reasonably suspected to be in breach of this Clause, without prior notice and without prejudice to any other rights or remedies available to Wysely. Wysely further reserves the right to report suspected fraudulent or unlawful activity to the South African Police Service (SAPS) or any other relevant authority.
10.1. All intellectual property rights in and to the Platform and its Content, including the Wysely name, brand, logo, trademarks, service marks, design, software, databases, text, images, and all other materials are owned by or licensed to Laurasia and Gondwana Consultancy FZCO and are protected under applicable South African and international intellectual property laws.
10.2. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial purposes in accordance with these Terms. This licence does not include any right to:
10.2.1. copy, reproduce, modify, adapt, translate, or create derivative works from any Platform Content;
10.2.2. distribute, sell, sublicense, or otherwise commercially exploit any Platform Content;
10.2.3. reverse engineer, decompile, or disassemble any software forming part of the Platform; or
10.2.4. remove or obscure any copyright, trade mark, or other proprietary notice on the Platform.
10.3.Any use of Platform Content outside the scope of the licence granted above requires Wysely's prior written consent. Unauthorised use may constitute an infringement of Wysely's intellectual property rights and may attract civil and criminal liability.
11.1. By opting in to marketing communications during the registration process or through your Account settings, you consent to receiving communications from Wysely including deal alerts, promotional offers, new partner announcements, and Platform updates via email, SMS, or push notification.
11.2. You may withdraw your consent to marketing communications at any time without penalty by:
11.2.1. clicking the unsubscribe link included in any marketing email;
11.2.2. adjusting your notification and communication preferences within the Platform; or
11.2.3. contacting us directly at support@wysely.co.za
11.3. Withdrawal of consent to marketing communications does not affect your right to receive transactional or service-related communications (such as Account registration confirmation, identity verification notices, security alerts, and changes to these Terms), which Wysely may send regardless of your marketing communication preferences.
11.4.Users who activate Inner Circle membership through a Distribution Partner may separately receive communications from that Distribution Partner in connection with their services or membership offerings. Such communications are governed by the Distribution Partner's own terms and privacy policies and are not controlled or managed by Wysely.
Nature of the Platform
12.1. Wysely operates as a digital platform connecting Users with independent Brand Partners and Distribution Partners. Wysely is not a retailer, merchant, or service provider, and does not directly provide the goods, services, offers, or benefits made available by Brand Partners or Distribution Partners.
Disclaimer of Warranties
12.2.To the maximum extent permitted by applicable law, the Platform and all Deals, Content, and services made available through it are provided on an "as is" and "as available" basis without any warranty, representation, or guarantee of any kind, whether express, implied, or statutory, including but not limited to:
12.2.1. the accuracy, completeness, availability, or reliability of any Deal, offer, or Content;
12.2.2. the uninterrupted, error-free, or secure operation of the Platform;
12.2.3. the suitability of any Deal, offer, or Content for a particular purpose; or
12.2.4. the quality, availability, or delivery of any goods or services provided by Brand Partners.
Limitation of Liability
12.3. To the maximum extent permitted by the Consumer Protection Act 68 of 2008 and other applicable South African law, Wysely shall not be liable to any User for any loss, damage, cost, or expense of any kind, whether direct, indirect, consequential, incidental, special, or punitive, arising out of or in connection with:
12.3.1. the User's use of or inability to use the Platform;
12.3.2. any Deal, Voucher Code, or benefit provided by a Brand Partner, including the quality, safety, delivery, or availability of any goods or services;
12.3.3. the failure, refusal, or decision of a Distribution Partner to open, approve, maintain, or close a qualifying account, or any change to the Inner Circle benefit;
12.3.4.any unauthorised access to or alteration of a User's Account or data arising from the User's failure to maintain the security of their Account credentials;
12.3.5. any interruption, suspension, or termination of the Platform or any service thereon; or
12.3.6. the acts or omissions of any Brand Partner, Distribution Partner, or other third party.
12.4. Nothing in these Terms limits or excludes any rights or protections available to Users under applicable South African law.
13.1. Wysely is committed to the responsible processing of Personal Information in full compliance with the Protection of Personal Information Act 4 of 2013 (POPIA). The collection, use, storage, and disclosure of your Personal Information is governed by the Wysely Privacy Policy, which forms an integral part of these Terms and is incorporated herein by reference.
13.2. The Privacy Policy is available at wysely.co.za/privacy-policy. You are encouraged to read it carefully before registering for an Account. By registering and using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the processing of your Personal Information as described therein.
13.3. Your rights as a data subject under POPIA including the right to access, correct, and request the deletion of your Personal Information are explained in the Privacy Policy. For any privacy-related queries, please contact our Information Officer at: privacy@wysely.co.za
14.1. Wysely reserves the right to amend, update, or replace these Terms from time to time.
14.2.Where any change materially affects Users' rights, obligations, or the services available through the Platform, Wysely will:
14.2.1.publish the updated Terms on the Platform with a revised "Last Updated" date;
14.2.2. notify registered Users of the changes via email to the address registered on their Account; and
14.2.3.provide at least 14 (fourteen) calendar days' notice before the updated Terms take effect, except where a shorter notice period is required by law, regulation, or to address a security risk or legal obligation.
14.3. Your continued use of the Platform after the effective date of any amended Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the amended Terms, you must discontinue all use of the Platform before the effective date of the changes.
Termination by User
15.1. You may deactivate your Account at any time by following the account deactivation process in your Account settings or by contacting support@wysely.co.za Upon deactivation, you will lose access to all Platform features, Deal history, and membership benefits. Deactivation does not affect Wysely's right to retain records of your transactions and activity as required by law.
Termination by Wysely
15.2. Wysely may, at any time and without liability, suspend or terminate your Account and access to the Platform if:
15.2.1. you breach any provision of these Terms;
15.2.2. Wysely is required to do so by law, court order, or regulatory directive;
15.2.3. Wysely discontinues or significantly changes the Platform or any service thereon; or
15.2.4. your continued use poses a security, legal, or reputational risk to Wysely, Brand Partners, Distribution, or other Users.
Effect of Termination
15.3. Upon termination of your Account, whether by you or by Wysely, all licences granted to you under these Terms immediately cease. Any unused Voucher Codes or Deal entitlements are forfeited. Clauses that by their nature survive termination including Clauses 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Privacy), and 17 (Governing Law) shall continue in full force and effect after termination.
16.1. The Platform may contain links to third-party websites, platforms, or services, including Brand Partner websites and Distribution Partner portals. These links are provided for your convenience only. Wysely does not control, endorse, or accept responsibility for any content, products, services, privacy practices, or terms of any third-party website or service.
16.2.Your access to and use of any third-party website or service is at your own risk and subject to that third party's own terms and conditions and privacy policy. Wysely encourages you to read those terms carefully before proceeding.
17.1. These Terms and Conditions, and any dispute, claim, or matter arising out of or in connection with them (whether contractual or non-contractual in nature), shall be governed by and construed in accordance with the laws of the Republic of South Africa.
17.2. Nothing in this Clause limits any statutory rights you may have as a consumer under the Consumer Protection Act 68 of 2008 or any other applicable South African consumer protection legislation.
18.1.Without prejudice to Wysely's right to seek urgent or interim relief in any jurisdiction where it has legitimate grounds to do so, any dispute, disagreement or claim arising out of or in connection with this Agreement, including its validity, enforceability or termination, shall, upon written demand by any Party, be finally resolved by arbitration administered by the Arbitration Foundation of Southern Africa ("AFSA") in accordance with its Commercial Arbitration Rules.
18.2.The arbitration shall be held in Cape Town before a single arbitrator. Failing agreement between the Parties on the arbitrator within 10 (ten) business days of the demand, the arbitrator shall be appointed by the Chairperson of the Cape Bar Council, who shall nominate an advocate of not less than 10 (ten) years' standing.
18.3. If AFSA is not operational or declines to administer the arbitration, the arbitration shall proceed in accordance with the AFSA Commercial Arbitration Rules (as last applied), with the arbitrator appointed as set out above.
18.4.The arbitration shall commence within 30 (thirty) business days of the arbitrator's appointment. The arbitrator's decision shall be final and binding, subject to any appeal permitted under the AFSA Rules.
18.5. Nothing in this clause prevents any Party from approaching a court of competent jurisdiction for urgent interim relief or for judgment on a liquidated claim.
18.6. The arbitration proceedings (including any appeal) shall be conducted in camera and remain strictly confidential.
18.7. Unless otherwise agreed, the arbitrator shall determine the allocation of costs.
18.8. This clause shall survive termination or cancellation of this Agreement and shall apply notwithstanding any dispute regarding the validity or enforceability of the Agreement. A written demand for arbitration shall constitute legal process for purposes of interrupting prescription in terms of the Prescription Act, 68 of 1969.
18.9. Accordingly, the arbitration provisions contained in this Agreement shall apply to all disputes between the Parties.
19.1. This Agreement constitutes the entire agreement between the Parties relating to its subject matter and, save as otherwise expressly provided, no modification, amendment or waiver of any of the provisions of this Agreement or any agreement to cancel or terminate it shall be effective unless made in writing specifically referring to this Agreement and duly signed by the Parties.
19.2. No indulgences, leniency or extension of time which any Party may grant or show to another, shall in any way prejudice that Party or preclude that Party from exercising any of its rights in the future.
19.3. If for any reason any provision of this Agreement is or becomes void or unenforceable it shall be severable from the remainder of this Agreement which shall remain in full force and effect.
19.4. Each of the Clauses will survive termination or cancellation of this Agreement and thus remain valid and binding as between the Parties no matter what the reason or basis for any such termination or cancellation might be.
19.5. This Agreement may be executed in counterparts by the respective Parties, each of which, when so executed, shall be deemed to be an original and all of which, when taken together, shall constitute one and the same agreement.
19.6. These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and Wysely in respect of your use of the Platform and supersede all prior agreements, representations, and understandings relating to the same subject matter.
19.7. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
19.8. Nothing in these Terms creates or implies any partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Wysely. You may not represent yourself as an agent of Wysely.
19.9.You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Wysely's prior written consent. Wysely may assign its rights and obligations under these Terms to any affiliate, successor entity, or acquirer without your consent, provided that such assignment does not materially prejudice your rights.
19.10. Any formal notice required to be given under these Terms must be sent to Wysely at legal@wysely.co.za. Wysely will send notices to the email address registered on your Account. Notices are deemed received on the next business day after dispatch by email.
